Terms of Service
These Terms of Service govern access to and use of the Moonbridge service and the website at moonbridge.ai provided by Mojo AI Services LLC.
Version 2.0, in effect from October 4, 2026.
1. Agreement
These Terms of Service ("Terms") constitute a binding agreement between Mojo AI Services LLC, a Florida limited liability company ("Mojo AI Services LLC", "we", "us" or "our"), and the licensed therapy practice that registers for or uses the Services ("Customer"). The "Services" means the Moonbridge software service and the website at moonbridge.ai. By registering, creating an account, or using the Services, the individual doing so represents that they are authorized to bind Customer, and Customer agrees to these Terms. "Authorized Users" means the individuals to whom Customer gives a staff account in the Services, such as practice owners, clinicians, prescribers, supervisors, practice administrators and front-desk staff. Individuals who access Moonbridge as clients of a Customer ("Clients") do so under the terms established by that Customer; these Terms govern Customer's use and do not create obligations on the part of Clients. "Client Data" means information concerning a Client that is created, received or stored in the Services.
2. Nature of the Services
Moonbridge is software that a licensed therapy practice deploys to its own Clients to provide support between sessions under the supervision of the treating clinician. The Services are not psychotherapy, counseling, diagnosis, treatment, medical advice or emergency services, and are not a substitute for professional care. The artificial intelligence component of the Services (the "Companion") discloses that it is an automated system, not a person and not a licensed professional. It does not add a diagnosis of its own; it may discuss a diagnosis a clinician has recorded, attributed to that clinician. It does not direct medication dosing or say whether changing a medication is safe; it may explain how a medication works and what to ask a prescriber. A clinician can close either topic for a Client. It does not issue a treatment plan or clinical recommendation without clinician review and approval. Automated safety controls can pause ordinary companion replies. While a crisis flag is open and no member of Customer's care team has acknowledged it, the Companion answers in a limited crisis mode or with fixed crisis text; that hold ends when the flag is acknowledged or 24 hours after the Client's most recent crisis message, and the flag stays open for Customer's review. A crisis flag does not by itself turn the Companion off. Crisis flags are routed under the configured practice protocol. The Services surface information and proposals; clinical decisions are made by Customer's clinicians. Mojo AI Services LLC makes no representation that the Services diagnose, treat, cure or prevent any condition, and the Services are not marketed as a medical device. In an emergency, the Services direct Clients to call or text 988 (in the United States) or to call 911; the Services do not dispatch emergency services.
3. Eligibility
- Customer must be a mental health practice whose clinicians hold current licensure in a state in which the Services are available. Mojo AI Services LLC may check licensure against the applicable state licensing board's public register and may suspend or terminate a registration that cannot be verified.
- Customer's staff enroll each Client under a named treating clinician of Customer. The Services enroll adults only. Customer determines Client eligibility, obtains all consents and authorizations required by applicable law and professional standards, and remains responsible for those determinations.
- The Services refuse to enroll a Client whose treatment state, as recorded on the Client's chart, prohibits a licensee from permitting an automated system to interact with clients, and keep the Companion off in any state not cleared in Mojo AI Services LLC's published state availability information. Customer shall record each Client's treatment state accurately and shall not circumvent these restrictions.
- The website may be viewed by any person. Its forms are provided for prospective customers and shall not be used to transmit information concerning any Client.
4. Accounts and Companion Licenses
Multi-factor authentication is required for every account and cannot be disabled. Customer is responsible for maintaining the confidentiality of credentials issued to its Authorized Users and shall notify Mojo AI Services LLC promptly of any suspected unauthorized access. Each paid subscription unit is a reusable companion license subscribed to by Customer and assignable to one Client at a time. Clinician, practice-admin, and front-desk access is free and unlimited, with no separate portal fee. Creating an account does not purchase a license. Customer may remove a license assignment and reassign that license to another Client in the same practice. Removing an assignment stops that Client's licensed companion access, preserves their account and records, and leaves Customer's subscribed quantity unchanged. It does not transfer either Client's conversations or clinical context. Reducing or canceling subscribed license capacity is a separate commercial action governed by the Order. Customer assigns each staff member their own account; accounts must not be shared. A license never replaces current consent, clinical eligibility or safety requirements. The Services offer a Client no switch to turn the Companion off and no way to withdraw the review and sharing described in Section 7 while the Client keeps using the Companion. A Client who wants to stop may stop using the Companion, ask Customer to remove their companion access, including through the Services, or close their own account; closing an account ends the Client's access and releases the license, and does not delete retained records. Customer is responsible for all activity conducted under its accounts and companion licenses.
5. Customer Obligations
Customer shall:
- use the Services within the scope of its clinicians' licensure and in compliance with applicable law, regulation and professional standards, including the law of each jurisdiction in which its Clients are located;
- obtain and maintain each Client's informed consent to the use of the Services and explain who can see what: an AI reads the Client's companion conversations, including messages the Client did not save, to prepare observations for the clinicians and supervisors named in the Client's sharing agreement; no Authorized User can read the Client's companion conversations or private companion memory, except that a crisis flag shows the flagged message with up to five messages before it and two after it; words the Client confirms in a save reach the care team, and the Client can edit them but not remove them; explain that the journal and private notes are the Client's alone, and applicable legal disclosure duties; a private label does not establish legal privilege;
- act promptly on a Client's request to remove companion access, and tell each Client that this request, stopping use, or closing their account is how they stop, because the Services offer the Client no switch to turn the Companion off;
- decide, each time it cancels, moves or restores a Client's session, whether the Services may email the Client a notice, which names no person, date or time, taking into account who else may read the Client's email;
- determine and configure the retention schedule applicable to its Clients, and retain the clinical record for the period required by the licensing board governing its clinicians; Customer acknowledges that Mojo AI Services LLC applies no default retention ceiling and performs no scheduled destruction under that setting for a practice that has not set one; separate deletion requests remain subject to applicable retention requirements and legal holds, and that Mojo AI Services LLC does not determine what constitutes Customer's record of services;
- place a legal hold within the Services promptly upon receiving notice of litigation, a subpoena or an investigation relating to a Client, and maintain that hold until the matter is resolved;
- configure and maintain its crisis protocol and coverage chain within the Services, and respond to crisis flags in accordance with its own written policies; Customer acknowledges that the Services route crisis flags under the configured practice coverage protocol, do not provide real-time monitoring, and do not replace Customer's emergency procedures;
- identify responsible clinicians and actual coverage arrangements for nonurgent review, explain response expectations to Clients, and review reported concerns and delivery failures; do not represent an automated notice as human review or a guarantee of immediate response;
- maintain in force the business associate agreement between Customer and Mojo AI Services LLC for so long as any Client Data exists within the Services;
- not reverse engineer, decompile, scrape, load-test, probe or attempt to gain unauthorized access to the Services or to any account or data not belonging to Customer, provided that good-faith security research may be conducted with Mojo AI Services LLC's prior written permission requested at info@moonbridge.ai;
- not store or transmit payment card data through the Services; and
- not use the Services for any purpose other than the care of Customer's own Clients.
6. Mojo AI Services LLC Obligations
Mojo AI Services LLC shall:
- operate the Services in accordance with its written security program, which is available to Customer on request;
- process Client Data on Customer's behalf under the applicable agreements, including as Customer's business associate where HIPAA applies, use Client Data only to provide the Services, and not sell Client Data, use it for advertising, or use it to train or fine-tune any artificial intelligence or machine learning model;
- notify Customer of any breach of unsecured protected health information without unreasonable delay and in no case later than five business days after discovery, as the business associate agreement provides;
- make Customer's data available for export in a standard format for thirty days after termination, as the business associate agreement provides, or longer where the Order provides; and
- maintain the safety behaviors of the Companion described in Section 2, which are enforced in the software and tested on each release.
7. Artificial Intelligence
Companion responses are generated by third-party AI models run through Amazon Bedrock in Mojo AI Services LLC's own cloud account in United States regions, as the Privacy Policy names, together with Mojo AI Services LLC's instructions and safety controls (together, the "Moonbridge model"). Such responses are not statements of a clinician and do not constitute clinical advice. The Services screen Client messages for indicators of risk; no automated screening is infallible, and Customer's clinical judgment and protocols remain the applicable standard of care. A separate AI model reviews each Client's companion conversations, including messages the Client did not save, and prepares observations for the clinicians and supervisors named in the Client's sharing agreement; agreeing to the Companion includes this review, and the Services offer no separate switch for it. Clinician AI tools draft briefs, plans and notes and answer questions about a Client's chart; they do not read companion conversations or private companion memory. Observations and drafts may be incomplete, mistaken or unsupported. Clinicians must assess the evidence and alternatives, correct errors, and explicitly approve clinical decisions and patient-facing plans. Observations are prepared for a Client only while that Client's agreement to the current edition of the sharing terms is in place. New companion conversations end when Customer removes the Client's companion license or discharges the Client, or the Client closes their account. Retained records and manual clinical work remain separate. No optional AI feature is promised merely because it is described in these Terms.
8. Fees
The launch offer is 60 days free with unlimited patient companion licenses, followed by $20 per companion license per month in USD. A practice with a founding rate agreed in writing pays that rate. Clients do not pay Mojo AI Services LLC for companion access. Customer explicitly confirms the paid quantity and paid-service start; the trial does not automatically purchase a license for every enrolled Client. Retained paid licenses are billed whether assigned or available for reuse. Additions take effect immediately with prorated charges; reductions take effect at renewal without a mid-period refund. The review shows the applicable amount and effective timing before confirmation. The subscribed quantity, trial dates, billing start and any agreed exceptions are set out in the written order or pilot agreement between Customer and Mojo AI Services LLC (the "Order"). In the event of conflict between the Order and this Section, the Order controls. Public inquiry forms do not collect payment card information. Payment details are collected through the payment processor when Customer sets up paid service. Unlimited trial licenses do not waive eligibility, consent, account security, acceptable-use rules, or the practice agreement and BAA requirements. Mojo AI Services LLC makes no representation concerning insurance reimbursement for the Services.
9. Intellectual Property
The Services, including all software, designs, documentation and content provided by Mojo AI Services LLC, are the property of Mojo AI Services LLC and its licensors and are protected by intellectual property laws. Customer's data, including Client Data, is the property of Customer. Customer grants Mojo AI Services LLC a non-exclusive, perpetual, royalty-free license to use any feedback or suggestions provided by Customer for the purpose of improving the Services, without any obligation to Customer and without any claim to Customer's data.
10. Term and Termination
These Terms remain in effect for so long as Customer maintains an account. Either party may terminate on written notice. Mojo AI Services LLC may suspend or terminate an account immediately upon written notice if Customer materially breaches Section 5 or uses the Services in a manner that endangers a Client, another customer or the Services. A billing lapse does not by itself remove record access, export, or safety paths. Upon termination, data return, export, retention and destruction follow the Order and business associate agreement, subject to applicable law and legal holds. Customer remains responsible for retaining its required clinical record. Termination does not authorize deletion of records that must be preserved. Sections 6 (as to Client Data), 9, 11, 12 and 13 survive termination.
11. Disclaimers and Limitation of Liability
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND MOJO AI SERVICES LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, MOJO AI SERVICES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. THE AGGREGATE LIABILITY OF MOJO AI SERVICES LLC UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO MOJO AI SERVICES LLC IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW OR TO MOJO AI SERVICES LLC'S OBLIGATIONS UNDER THE BUSINESS ASSOCIATE AGREEMENT.
Customer retains sole responsibility for the care of its Clients and for compliance with its professional obligations. To the extent permitted by law, Customer shall indemnify and hold harmless Mojo AI Services LLC from third-party claims arising out of Customer's breach of Section 5 or Customer's clinical decisions.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The state and federal courts located in the State of Florida have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to the personal jurisdiction of those courts. Before commencing any proceeding, a party shall give the other party written notice of the dispute, and the parties shall attempt in good faith to resolve it for a period of thirty days.
13. General
Mojo AI Services LLC may amend these Terms by publishing a new edition. A new edition is shown to each Authorized User in the Services, who must agree to it before continuing to use them. When an amendment is material, Mojo AI Services LLC also tells Customer's practice owners by email. The edition number and effective date appear at the end of these Terms. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms, the Order and the business associate agreement, together with the Companion Use Agreement each Authorized User accepts, constitute the entire agreement concerning the Services.
